End User License Agreement

01 Notice for Users

This End User License Agreement (the "Agreement") is a binding legal contract between you (either an individual or a single entity, the "User" or "You") and PCDOTS Software ("PCDOTS", "we", "us") regarding the PCDOTS software products (collectively the "Software"), including all updates, upgrades, patches, fixes, modifications, releases, related user documentation, and any other materials provided by PCDOTS in connection with the Software (collectively the "Distribution Package").

By downloading, installing, copying, or using the Software, You acknowledge that You have read this Agreement, understand it, and agree to be bound by its terms. If You do not agree, do not download, install, copy, or use the Software.

02 Acceptance of Terms

You should carefully read and understand the terms below before downloading, installing, or using the Software. If You do not agree with the terms of this Agreement, do not install, copy, download, launch, or distribute any copy of the Software to which this Agreement is attached. Your use of the Software is conditional upon Your agreement with all the terms of this Agreement.

If You have an unused copy of the Software for which You have not requested an activation key, You may return the Software within 30 days of purchase and request a full refund of Your payment, subject to the terms of our Refund Policy.

03 License Grant

Subject to Your compliance with this Agreement, PCDOTS grants You a non-exclusive, non-transferable, revocable license to install and use the Software in accordance with the type of license You purchased and as described in Section 4 below.

This license does not transfer to You any title or ownership interest in the Software. PCDOTS retains all rights not expressly granted to You in this Agreement.

04 License Types

The scope of Your license depends on the license type You purchased.

Each license is governed by the activation key issued at purchase. Volume licensing terms may apply to Multi-User and Enterprise licenses. Contact [email protected] for clarification on which license type fits Your use case.

05 Restrictions on Use

Except as expressly permitted by this Agreement, You shall not:

• Make the Software available to multiple users over a network unless You have purchased a Multi-User or Enterprise license that authorizes such use;
• Distribute, sublicense, rent, lease, lend, or sell the Software to any third party;
• Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software, except to the extent expressly permitted by applicable law;
• Remove, alter, or obscure any copyright notices, proprietary markings, or trademarks on or in the Software;
• Use the Software for any purpose that is unlawful, fraudulent, or violates the rights of any third party;
• Use the Software in any manner that exceeds the scope of the license type You have purchased.

06 Intellectual Property

The Software and any documentation included in the Distribution Package are protected by national copyright laws and international copyright treaties. PCDOTS retains all rights, title, and interest in and to the Software, including all intellectual property rights therein.

Any unauthorized use of the Software shall result in immediate and automatic termination of this Agreement and may result in civil or criminal liability under applicable law. Your installation or use of the Software does not transfer to You any ownership of the intellectual property in the Software, and You acquire no rights in the Software except as expressly set forth in this Agreement.

07 Updates and Versions

PCDOTS may, at its sole discretion, provide updates, upgrades, patches, or new versions of the Software (collectively "Updates"). Updates may be required for continued use of the Software. All Updates are subject to the terms of this Agreement unless accompanied by separate license terms, in which case those separate terms shall govern the Updates.

PCDOTS may modify or discontinue any version of the Software at any time. PCDOTS is under no obligation to provide Updates or continue support for any specific version of the Software.

08 Refunds

PCDOTS offers a 30-day money-back guarantee on all software purchases made directly through pcdots.com or through authorized resellers. Refunds are subject to the eligibility criteria and process described in our Refund Policy, which is incorporated by reference into this Agreement.

10 Limitation of Liability

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation may not apply to You.

11 Lawful Use

Your right to use the Software is conditioned on Your lawful ownership of, or authorized access to, all data, files, and information processed using the Software. You represent and warrant that You are either the legitimate owner of all data You process with the Software, or that You have proper authorization from the lawful owner to access and process that data.

Any unlawful use of the Software is solely Your responsibility. You acknowledge that recovering passwords, decrypting data, or accessing files without proper authorization may constitute theft or other wrongful conduct under applicable law and may subject You to civil or criminal liability.

12 Term and Termination

This Agreement is effective from the date You first install or use the Software and continues until terminated as provided herein.

You may terminate this Agreement at any time by destroying the Software together with all copies and back-up copies in Your possession.

This Agreement will terminate automatically if You fail to comply with any of its terms or conditions. Upon termination for any reason, You agree to destroy the Software and all copies, including any back-ups, and to cease all use of the Software.

The provisions concerning Intellectual Property, Warranty Disclaimer, Limitation of Liability, Lawful Use, and Governing Law shall survive termination of this Agreement.

13 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict-of-laws principles.

Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Los Angeles County, California, USA, and You consent to the personal jurisdiction of such courts.

14 General Provisions

Entire Agreement

This Agreement, together with the Refund Policy and any other policies referenced herein, constitutes the entire agreement between You and PCDOTS regarding the Software and supersedes all prior or contemporaneous agreements, oral or written, and all other communications between the parties relating to the subject matter of this Agreement.

Severability

If any provision of this Agreement is held to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

No Waiver

The failure of PCDOTS to enforce any provision of this Agreement shall not be construed as a waiver of that provision or of the right to enforce it later.

Assignment

You may not assign or transfer this Agreement or any rights granted hereunder without the prior written consent of PCDOTS. PCDOTS may assign this Agreement without restriction.

Updates to This Agreement

PCDOTS may update this Agreement from time to time. Updated versions will be posted at pcdots.com/eula.html with a revised effective date. Your continued use of the Software after such updates constitutes acceptance of the updated Agreement.
